CIS PAYMENT ADMINISTRATION TERMS AND CONDITIONS

These Terms and Conditions apply where a customer elects to have instalment payments collected and administered by Coverit Solutions Pty Ltd.

These Terms must be read together with the separate CIS Payment Schedule provided to the Customer.

The Payment Schedule contains the Customer-specific details of the arrangement, including the Product, Product Payment amount, payment frequency, payment dates and applicable Payment Administration Fee.

1. Definitions

In these Terms:

Agreement means these Terms and Conditions together with the applicable Payment Schedule.

Business Day means a day other than a Saturday, Sunday or public holiday in Queensland.

Cancellation Administration Fee means the fixed fee of $100 payable to CIS for administering the cancellation and closure of a Payment Plan in accordance with these Terms.

CIS, Coverit, We, Us or Our means Coverit Solutions Pty Ltd ABN 89 618 664 412.

CIS Fees means:

  1. the Payment Administration Fee;

  2. the Late Payment Administration Fee; and

  3. the Cancellation Administration Fee.

Customer, You or Your means the person identified in the Payment Schedule.

Late Payment Administration Fee means the fixed fee of $25 that may apply where a scheduled Product Payment is not successfully received by its due date, and CIS is required to undertake additional payment administration.

Payment Administration Fee means the fee charged by CIS for administering and processing each scheduled payment. The amount applicable to a particular Payment Plan will be specified in the Payment Schedule and will remain fixed for the term of that Payment Plan unless the Customer agrees to a replacement Payment Schedule.

Payment Method means the bank account, debit card, credit card or other payment facility nominated by the Customer and accepted by CIS.

Payment Plan means the arrangement under which CIS administers and collects scheduled Product Payments and CIS Fees.

Payment Schedule means the separate Customer-specific document setting out the Product Payment amount, payment frequency, scheduled payment dates, Payment Administration Fee and other relevant payment information.

Product means the warranty, mechanical protection plan, roadside assistance product or other product identified in the Payment Schedule.

Product Payment means an amount CIS collects in advance for the applicable future period of Product coverage.

Product Provider means the entity identified as the provider, issuer or supplier of the Product.

Product Terms means the separate terms and conditions governing the Product.

 

2. Separate Product and Payment Arrangements

The Product and the CIS Payment Plan are separate arrangements.

The Product is supplied, issued or administered by the relevant Product Provider and is governed by the Product Terms.

CIS provides payment administration and reconciliation services only.

CIS does not:

  1. issue or supply the Product;

  2. determine eligibility for the Product;

  3. determine the period or extent of Product coverage;

  4. assume liability for claims or benefits under the Product;

  5. approve, decline or settle Product claims; or

  6. alter the coverage, limits, conditions or exclusions of the Product.

Nothing in this Agreement limits or modifies any rights or obligations arising under the Product Terms or applicable law.

 

3. CIS’s Role

The Product Provider has appointed CIS to administer and collect Product Payments on its behalf.

CIS may:

  1. establish and maintain the Payment Plan;

  2. collect Product Payments in advance when they fall due;

  3. collect applicable CIS Fees;

  4. process payments through approved payment service providers;

  5. remit cleared Product Payments received from the Customer to the Product Provider;

  6. maintain payment and account records;

  7. issue payment reminders and confirmations;

  8. notify the Customer of unsuccessful or overdue payments;

  9. re-attempt unsuccessful payments in accordance with these Terms;

  10. administer late payments;

  11. provide the Product Provider with information about the status of Product Payments;

  12. administer cancellation of the Payment Plan; and

  13. process refunds or payment adjustments were authorised or instructed by the Product Provider.

Receipt by CIS of a cleared Product Payment as the Product Provider authorised processing agent constitutes receipt of that Product Payment by the Product Provider.

 

4. Product Payments Are Made in Advance

Product Payments are collected in advance for the applicable future period of Product coverage.

A scheduled Product Payment is not a repayment of money previously advanced by CIS.

CIS will only remit a Product Payment to the Product Provider after CIS has successfully received the corresponding cleared funds from the Customer.

CIS does not pay, fund, guarantee or advance unpaid Product Payment.

If a scheduled Product Payment is not successfully received:

  1. CIS does not become liable to make that Product Payment;

  2. the unpaid Product Payment does not become a debt owed by the Customer to CIS;

  3. CIS will not seek payment of future Product Payments as a debt;

  4. CIS may undertake the payment remediation process set out in these Terms; and

  5. the effect of non-payment on future Product coverage will be determined under the Product Terms.

 

5. No Finance or Credit Provided by CIS

CIS provides payment processing and administration services only.

Under this Agreement:

  1. CIS does not lend money to the Customer;

  2. CIS does not provide finance or credit to the Customer;

  3. CIS does not advance money on behalf of the Customer;

  4. CIS does not purchase or acquire a Product receivable or debt;

  5. CIS does not provide a credit limit or credit facility;

  6. CIS does not conduct a consumer credit assessment for the purpose of providing credit;

  7. CIS does not charge interest or default interest;

  8. CIS does not charge an amount calculated by reference to an interest rate;

  9. CIS does not accelerate future Product Payments following a missed payment, Product claim or cancellation;

  10. A Product claim does not cause future Product Payments to become immediately payable; and

  11. cancellation of the Product does not cause future Product Payments to become payable to CIS.

Nothing in this clause affects a CIS Fee that has properly become payable under these Terms.

 

6. Payment Schedule

The Payment Schedule forms part of the Agreement.

The Payment Schedule will contain Customer-specific information including, as applicable:

  • Customer details;

  • Product details;

  • Product Provider;

  • Product commencement information;

  • Product Payment amount;

  • payment frequency;

  • first scheduled payment date;

  • scheduled payment term;

  • Payment Administration Fee;

  • regular scheduled debit amount;

  • Payment Method; and

  • the version of these Terms applying to the Payment Plan.

The fixed CIS Fees specified in these Terms apply whether or not they are repeated in the Payment Schedule.

The Payment Schedule may repeat those fees for customer information and transparency.

By accepting the Payment Schedule, the Customer confirms acceptance of these Terms.

If there is an inconsistency between these Terms and the Payment Schedule:

  1. the Payment Schedule prevails in relation to Customer-specific payment amounts, dates, frequencies and the Payment Administration Fee; and

  2. these Terms prevail in all other respects.

 

7. CIS Fees

CIS charges fees for the payment administration services it provides.

CIS Fees are separate from Product Payments collected on behalf of the Product Provider.

The standard CIS Fees are:

CIS does not charge interest or default interest.

 

8. Payment Administration Fee

CIS charges a Payment Administration Fee for administering and processing scheduled payments.

The Payment Administration Fee applicable to each Payment Plan will be specified as a fixed dollar amount per scheduled payment in the Payment Schedule before the Customer accepts the Payment Plan.

CIS may determine the Payment Administration Fee having regard to factors relevant to the administration of the particular Payment Plan, including:

  • the Product Payment amount;

  • the payment frequency;

  • the term of the Payment Plan;

  • the number and value of scheduled transactions;

  • payment processing costs;

  • system costs;

  • administration costs; and

  • account servicing requirements.

The internal method used by CIS to determine the Payment Administration Fee does not alter the fixed dollar amount disclosed to the Customer.

Once the Payment Plan is accepted, the Payment Administration Fee shown in the Payment Schedule will remain fixed for the term of that Payment Plan.

The Payment Administration Fee may only change where:

  1. the Customer requests or agrees to a material change to the Payment Plan;

  2. CIS issues a replacement Payment Schedule setting out the revised fee; and

  3. the Customer accepts the replacement Payment Schedule.

CIS does not impose a separate card surcharge. Payment processing costs form part of the Payment Administration Fee.

 

9. Example of Scheduled Payments

The following example is provided for illustration only.

The Customer’s actual Product Payment and Payment Administration Fee will be shown in the applicable Payment Schedule.

In this example:

  1. the $100 Product Payment is collected in advance for the applicable future period of Product coverage;

  2. the $6.95 Payment Administration Fee is payable to CIS for administering the scheduled transaction;

  3. if the $100 Product Payment is not successfully received, CIS does not advance $100 to AWN; and

  4. an unpaid future Product Payment does not become a debt owed to CIS.

 

10. Payment Authority

By entering the Payment Plan, the Customer authorises CIS and its approved payment service providers to collect from the nominated Payment Method:

  1. Product Payments that fall due;

  2. the Payment Administration Fee;

  3. any applicable Late Payment Administration Fee; and

  4. any applicable Cancellation Administration Fee.

The Customer must:

  • provide accurate payment information;

  • maintain a valid Payment Method;

  • ensure sufficient cleared funds or available credit are available when a scheduled payment falls due; and

  • promptly update CIS if the Payment Method changes.

Where payments are made by direct debit, the Customer must also agree to the applicable Direct Debit Request and Direct Debit Service Agreement, which are separate from these Terms.

 

11. Processing Scheduled Payments

Scheduled payments will ordinarily be processed on the dates specified in the Payment Schedule.

Each regular scheduled payment will ordinarily comprise:

  1. the Product Payment collected on behalf of AWN; and

  2. the Payment Administration Fee payable to CIS.

If a scheduled payment date falls on a day when the relevant payment system does not process payments, CIS may process the payment on the next available Business Day.

A payment is treated as received when CIS receives cleared funds.

 

12. Unsuccessful Payments

If a scheduled payment is unsuccessful, CIS may:

  1. notify the Customer that payment has not been received;

  2. request that the Customer update the Payment Method;

  3. re-attempt of that scheduled payment;

  4. contact the Customer regarding the missed payment;

  5. charge the Late Payment Administration Fee in accordance with clause 14; and

  6. notify the Product Provider that the advance Product Payment has not been received.

CIS may make a maximum of two additional payment attempts in respect of the same missed scheduled payment.

If the Customer makes the required payment before a further scheduled re-attempt, CIS will cease additional processing attempts for that missed payment.

 

13. Late Payment Administration Fee — $25

Where a scheduled Product Payment is not successfully received by its due date, CIS may charge a fixed Late Payment Administration Fee of $25.

The Late Payment Administration Fee relates to the additional administration undertaken by CIS as a result of the missed payment, including where applicable:

  • issuing missed payment notifications;

  • contacting the Customer;

  • administering additional payment attempts;

  • maintaining and updating payment records;

  • reconciling the payment account; and

  • reporting payment status to Product Provider.

Only one $25 Late Payment Administration Fee may be charged for the same missed scheduled payment, regardless of the number of payment attempts made.

CIS will not:

  1. charge a Late Payment Administration Fee for each retry;

  2. charge more than one Late Payment Administration Fee for the same scheduled payment;

  3. calculate the Late Payment Administration Fee as a percentage of an unpaid amount;

  4. compound Late Payment Administration Fees;

  5. charge interest on the Late Payment Administration Fee; or

  6. charge the fee where the failed payment resulted from an error attributable to CIS.

Where the missed Product Payment is subsequently successfully collected, the $25 Late Payment Administration Fee remains payable unless waived by CIS.

Where the Product is ultimately cancelled because the scheduled Product Payment remains unpaid following the payment remediation process, the Late Payment Administration Fee applying to that missed Product Payment will be waived or reversed, and the Cancellation Administration Fee will apply instead.

 

14. Payment Remediation Process

Where a scheduled Product Payment is not successfully received, CIS may undertake the following payment remediation process:

  1. notify the Customer of the unsuccessful payment;

  2. make a first additional payment attempt;

  3. if unsuccessful, notify the Customer again;

  4. make a second and final additional payment attempt; and

  5. if payment remains unsuccessful, notify the Product Provider that the relevant advance Product Payment has not been received.

CIS will not make more than two additional processing attempts in respect of the same scheduled Product Payment.

The timing of those attempts may vary depending upon the Payment Method and operational requirements.

The effect of non-payment on Product coverage is governed by the Product Terms.

 

15. Effect of Non-Payment

Because Product Payments are made in advance for future Product coverage, failure to successfully make a scheduled Product Payment may result in future Product coverage being suspended, ceasing or being cancelled in accordance with the Product Terms.

CIS does not independently determine whether Product coverage is suspended, terminated or cancelled.

The Product Provider is responsible for determining the status of the Product.

Where the Product is cancelled because a Product Payment has not been received:

  1. CIS will cease collecting future Product Payments;

  2. future Product Payments do not become payable;

  3. future Payment Administration Fees do not become payable;

  4. the unpaid Product Payment does not become a debt owed to CIS;

  5. the Late Payment Administration Fee relating to the payment that resulted in cancellation will be waived or reversed; and

  6. the $100 Cancellation Administration Fee will become payable, subject to clause 19.

Accordingly, following cancellation for non-payment, CIS will not pursue the Customer for unpaid future Product Payments.

 

16. Product Claims

All claims relating to the Product are governed by the Product Terms.

CIS does not:

  • determine whether a claim is covered;

  • approve or decline a claim;

  • determine claim amounts;

  • authorise repairs; or

  • settle claims.

Making a Product claim does not cause CIS to:

  1. accelerate future Product Payments;

  2. demand payment of all remaining scheduled Product Payments;

  3. charge interest;

  4. impose a financing charge; or

  5. convert future Product Payments into a debt.

The status of Product coverage and the effect of Product claims on any Product cancellation or refund are matters for Product Provider under the Product Terms.

 

17. Customer Cancellation

Subject to the Product Terms, a Customer may request cancellation of a Product at any time.

A Product cancellation request must be made in accordance with the Product Terms.

If CIS receives a Product cancellation request, CIS may forward that request to Product Provider for processing.

Once the Product Provider confirms the effective cancellation date:

  1. CIS will cease collecting future Product Payments;

  2. CIS will cease charging future Payment Administration Fees;

  3. future Product Payments do not become payable;

  4. the Customer does not become liable to CIS for the remaining scheduled Product Payments;

  5. CIS will reconcile the Payment Plan; and

  6. the Cancellation Administration Fee will apply in accordance with clause 19.

Cancellation of a Payment Method or direct debit instruction does not itself constitute cancellation of the Product. The Product must be cancelled in accordance with the Product Terms.

 

18. Cancellation Administration Fee — $100

A fixed Cancellation Administration Fee of $100 applies where CIS is required to administer the cancellation and closure of a Payment Plan.

The Cancellation Administration Fee relates to services associated with cancellation, which may include:

  • receiving or processing cancellation information;

  • ceasing scheduled payment instructions;

  • reconciling Product Payments and CIS Fees;

  • communicating with the Product Provider;

  • updating account and system records;

  • processing any payment adjustment or refund instruction;

  • closing the Payment Plan; and

  • maintaining appropriate cancellation records.

The Cancellation Administration Fee becomes payable when cancellation of the Payment Plan is processed.

The Cancellation Administration Fee is not:

  • interest;

  • a charge for providing credit;

  • calculated by reference to future Product Payments;

  • calculated by reference to the remaining term of the Product; or

  • a requirement to pay the remaining Product price.

The Cancellation Administration Fee will not apply where:

  1. charging the fee is prohibited by law;

  2. cancellation results solely from an error attributable to CIS;

  3. the Product Provider directs CIS not to charge the fee;

  4. the Product Terms expressly provide that no cancellation administration fee may apply in the relevant circumstances;

  5. CIS is unable to continue providing its service for reasons not attributable to the Customer; or

  6. the Customer is exercising a statutory right that prevents the fee being charged.

Where the Product is cancelled following unsuccessful payment remediation, the $100 Cancellation Administration Fee applies instead of the $25 Late Payment Administration Fee relating to the missed payment that caused cancellation.

The Cancellation Administration Fee is due and payable when cancellation is processed and is not itself placed on an instalment arrangement by CIS.

 

19. Cooling-Off Rights

Any cooling-off rights applying to the Product are governed by the Product Terms and applicable law.

Where Product Provider advises CIS that the Customer has validly exercised a cooling-off right:

  1. CIS will cease future scheduled payments;

  2. CIS will close the Payment Plan;

  3. CIS will reconcile amounts already received;

  4. CIS will process any Product refund instructed by Product Provider; and

  5. CIS will not charge a Cancellation Administration Fee where the fee cannot lawfully apply, or the Product Terms provide that it must not apply.

 

20. Product Refunds

The Product Provider, not CIS, determines whether a Customer is entitled to a refund of Product Payments.

The Product Provider also determines the amount of any Product refund and whether a Product claim affects that refund.

CIS may administer a refund or account adjustment in accordance with instructions received from the Product Provider.

CIS does not independently calculate or determine:

  • Product cancellation refunds;

  • the effect of a previous claim on a refund;

  • Product benefit entitlements; or

  • amounts earned by the Product Provider under the Product.

CIS Fees are separate from Product Payments and will only be refunded where required by these Terms or applicable law.

 

21. Payment Errors

If the Customer believes a payment has been processed incorrectly, the Customer should notify CIS as soon as reasonably practicable.

CIS will investigate the transaction and may, where appropriate:

  • correct its records;

  • arrange a payment reversal;

  • process a refund;

  • liaise with the relevant payment service provider; or

  • refer a Product-related matter to the Product Provider.

Nothing in this clause limits any rights available to the Customer through the Customer’s financial institution or under applicable law.

 

22. Customer Obligations

The Customer must:

  1. provide accurate and complete information reasonably required to establish the Payment Plan;

  2. maintain current contact details;

  3. maintain a valid Payment Method;

  4. ensure sufficient funds or available credit are available when scheduled payments fall due;

  5. promptly notify CIS of changes to payment details;

  6. promptly notify CIS of suspected incorrect or unauthorised payments; and

  7. not use CIS’s services for any unlawful or fraudulent purpose.

 

23. Privacy

CIS may collect, use, hold and disclose personal information for purposes including:

  • establishing Payment Plans;

  • processing scheduled payments;

  • communicating with Customers;

  • remitting Product Payments to the Product Provider;

  • account reconciliation;

  • managing unsuccessful payments;

  • processing cancellations;

  • fraud prevention;

  • responding to enquiries and complaints; and

  • complying with applicable law.

CIS may disclose relevant personal information to:

  • relevant Product Providers;

  • banks and payment processors;

  • technology providers;

  • service providers;

  • professional advisers;

  • government or regulatory authorities where permitted or required by law; and

  • other persons where authorised by the Customer or permitted by law.

CIS will handle personal information in accordance with its Privacy Policy and applicable privacy law.

CIS does not obtain a consumer credit report or report Product Payment history to a credit reporting body for the purpose of providing credit under this Agreement.

 

24. Communications

CIS may communicate with Customers electronically, including by:

  • email;

  • SMS;

  • telephone;

  • an electronic customer portal; or

  • another communication method agreed with the Customer.

Communications may include:

  • scheduled payment reminders;

  • payment receipts;

  • unsuccessful-payment notices;

  • payment retry notifications;

  • cancellation communications;

  • account information; and

  • other Payment Plan communications.

The Customer must keep contact details current.

 

25. Complaints

Complaints relating to:

  • CIS Fees;

  • payment processing;

  • unsuccessful payments;

  • cancellation administration;

  • incorrect debits; or

  • CIS’s payment administration services

should be directed to CIS using the contact details provided in the Payment Schedule, on CIS’s website or otherwise made available by CIS.

Complaints relating to:

  • Product coverage;

  • Product eligibility;

  • Product claims;

  • Product exclusions;

  • Product cancellation rights;

  • Product refunds; or

  • other Product matters

will be referred to the relevant Product Provider.

CIS may share relevant information and cooperate in resolving a complaint that concerns both the Product and the Payment Plan.

Nothing in this clause limits any statutory complaint or consumer right.

 

26. Service Providers

CIS may use banks, payment processors, technology providers and other contractors in providing its payment administration services.

CIS remains responsible for its obligations under this Agreement to the extent required by law.

Use of a third-party payment processor does not change CIS’s obligation not to advance unpaid Product Payments.

 

27. Changes to These Terms

CIS may make reasonable changes to these Terms where necessary to:

  1. comply with applicable law or regulatory requirements;

  2. accommodate changes to payment systems;

  3. address security requirements;

  4. improve the operation of CIS’s payment services; or

  5. correct an error or ambiguity.

CIS will provide reasonable advance notice of any change that materially disadvantages an existing Customer.

CIS will not retrospectively increase a fee already incurred.

The Payment Administration Fee specified in an existing Customer’s Payment Schedule will remain fixed for the term of that Payment Plan unless the Customer agrees to a replacement Payment Schedule.

 

28. Termination of CIS Payment Administration Services

CIS may cease administering a Payment Plan where:

  1. the Product expires or is cancelled;

  2. the Product Provider instructs CIS to cease the plan;

  3. scheduled Product Payments remain unsuccessful following the payment remediation process;

  4. the Payment Method remains invalid;

  5. continuing the Payment Plan would be unlawful;

  6. CIS reasonably suspects fraud or unauthorised activity; or

  7. the Customer materially breaches these Terms and fails to remedy the breach within a reasonable period where the breach is capable of remedy.

Cessation of CIS’s payment administration service does not, by itself, determine the Customer’s rights under the Product.

Product status is governed by the Product Terms.

 

29. Australian Consumer Law

Nothing in this Agreement excludes, restricts or modifies any right, consumer guarantee or remedy available under the Australian Consumer Law or any other applicable law where that right, guarantee or remedy cannot lawfully be excluded, restricted or modified.

 

30. Relationship Between CIS and Product Providers

CIS acts as an authorised payment processing and administration agent for Product Payments.

CIS does not acquire beneficial ownership of Product Payments collected.

CIS Fees are payable to CIS for CIS’s own services.

CIS will remit cleared Product Payments in accordance with the arrangements between CIS and the Product Provider.

CIS:

  1. does not guarantee Product Payments;

  2. does not fund unpaid Product Payments;

  3. does not acquire Product receivables;

  4. does not assume Product or claims liabilities; and

  5. does not determine Product coverage or claims.

 

31. No Waiver of Customer Rights

CIS's failure or delay in exercising a right under these Terms does not waive that right.

Nothing in these Terms requires a Customer to waive a right that cannot lawfully be waived.

 

32. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be read down to the extent necessary to make it valid and enforceable.

If it cannot be read down, it will be severed without affecting the remaining provisions of these Terms.

 

33. GST

Unless otherwise stated, CIS Fees include GST where GST applies.

Any GST applying to a CIS Fee will be treated in accordance with applicable Australian taxation law.

 

34. Governing Law

These Terms are governed by the laws of Queensland, Australia.

The parties submit to the non-exclusive jurisdiction of the courts of Queensland and courts entitled to hear appeals from those courts.

 

35. Acceptance

The Customer accepts these Terms by accepting the separate CIS Payment Schedule that identifies these Terms and makes them available to the Customer before acceptance.

The Payment Schedule should record:

  • the version of these Terms;

  • the Customer’s acceptance;

  • the date of acceptance; and

  • the Customer-specific payment arrangement.

A separate Customer signature is not required on these standard Terms where valid acceptance is recorded through the Payment Schedule or an approved electronic acceptance process.
